Channel Partner Terms & Conditions Agreement

Electronic Execution Notice: This Channel Partner Agreement is an electronic record generated by a computer system and does not require physical or digital signatures. This Agreement is accepted and executed electronically the moment the applicant checks the acceptance box and clicks the 'Register as Channel Partner' button on the Platform.
1. Scope of Engagement
The Channel Partner is engaged on a non-exclusive basis to refer prospective clients seeking digital estate-planning, data collation, and automated Will compilation services to the Platform operated by Will & Beyond.
2. Commercial Terms & Referral Payouts
- Tracking: Referrals are logged dynamically via unique referral links, coupon codes, or partner dashboard markers generated by the Platform.

Commission Slabs: The Channel Partner will receive a commission payout strictly based on the successful, cleared payment from clients processed through Company account as per the designated tier schedule:
- Slab 1 Client: Standard Tier Referral Commission per cleared file.
- Slab 2 Client: Executive Tier Referral Commission per cleared file.
- Slab 3 Client: HNI Enterprise Tier Referral Commission per cleared file.
- Source of Payout: Commissions are paid exclusively out of the administrative and technology infrastructure fees retained by Will & Beyond. No part of the commission is drawn or split from the professional fees allocated to empanelled lawyers.
3. Marketing Guardrails & No Legal Representation
- The Channel Partner is strictly a marketing affiliate. The Partner shall not represent themselves as an advocate, a legal counsel, or an agent of the empanelled law firm.
- The Partner shall not offer legal advice, evaluate asset structures, or make any guarantees regarding the validity or litigation-proof nature of a Will.
- Any marketing material used must utilize official brand guidelines provided by Will & Beyond.
4. Privacy & Compliance (DPDP Act, 2023)
The Channel Partner shall not collect, store, or intercept personal and financial details of the client on their own devices or offline records. All user data must be directly and securely entered by the client themselves on the platform interface.
5. Termination
- 5.1 Termination for Cause: Will & Beyond reserves the right to suspend or terminate the account of any Channel Partner instantly if the partner is found engaging in misrepresentation, unauthorized legal advisory, or data theft. Pending pay-outs shall be withheld during the investigation of such conduct and shall be forfeited only to the extent of demonstrable loss caused to Will & Beyond or its clients by the Partner's conduct; any undisputed balance shall be released within 30 (thirty) days of the investigation's conclusion.
- 5.2 Termination for Convenience: Either party may terminate this Agreement without cause by giving 15 (fifteen) days' prior written notice (including notice by email) to the other party. Commissions accrued on cleared payments up to the effective date of termination shall remain payable in accordance with Section 2.
6. Confidentiality
The Channel Partner shall keep confidential all commission slabs, brand guidelines, business processes, and other non-public information shared by Estatewise Pvt Ltd, and shall not disclose such information to any third party during or after the term of this Agreement, except as required by law.
7. Taxation
Commission pay-outs are subject to applicable tax deduction at source (TDS) under the Income Tax Act, 1961, and to GST as applicable. The Channel Partner is solely responsible for its own tax registration, reporting, and compliance, including issuance of a valid invoice or declaration as required by Will & Beyond for pay-out processing.
8. Governing Law & Dispute Resolution
This Agreement is governed by the laws of India. Any dispute arising out of or in connection with this Agreement shall first be referred to good-faith negotiation between the parties, failing which it shall be resolved by arbitration under the Arbitration and Conciliation Act, 1996, seated at Thane, Maharashtra, with the courts at Thane having exclusive jurisdiction over any matter not subject to arbitration.
9. Electronic Execution & Acceptance
BY COMPLETING THE DIGITAL REGISTRATION PROCESS ON THIS PLATFORM, THE CHANNEL PARTNER ACKNOWLEDGES AND AGREES THAT:
- They have read this Agreement in its entirety and agree to all its commercial slabs, operational rules, and compliance guardrails.
- This click-to-accept action serves as a valid, binding, and enforceable contract between the Channel Partner and Will & Beyond.
- The timestamp logged by the Platform's servers upon clicking 'Register' shall serve as the official execution date of this Agreement.
